Saplegal advised Costanus on the sale of a stake in AB Bank

Our firm advised Costanus Limited in relation to its agreement dated April 11, 2024, for the sale of part of its shares in Aegean Baltic Bank S.A. (“AB Bank”) to Aegean Baltic Holding AG, a company controlled by Mr. Aristotelis Mistakidis. Such sale is part of a wider transaction which comprises the sale of shares from other principal shareholders as well, which will lead to the acquisition, by the purchaser, of majority control over AB Bank.
Completion of the transaction is subject to the satisfaction of certain conditions precedent including receipt of regulatory licenses and approvals.
